PAPATONY Service Terms and Conditions

Chapter 1 General Provisions

Article 1 (Purpose)

These terms and conditions aim to define the rights, obligations, and responsibilities between the company and members, the conditions, and procedures for using the PAPATONY service provided by TeamSpot Co., Ltd. (hereinafter "the Company").

Article 2 (Definition of Terms)

1.
The terms used in this agreement are defined as follows:
"Member": An individual who enters into a service contract with the company and uses the services provided by the company.
"Service": All business consulting, company establishment, operational support, travel and living support for Korea, and related services provided by the company.
"Access Media": The means designated by the company to ensure the authenticity and accuracy of personal identification and service use.
"Consulting Service": Professional advice and execution support services provided by the company, including services related to company establishment, human resources, tax/accounting, legal matters, etc.
"Contract": A separate document that clearly specifies the terms and conditions of the service agreement between the company and the member.
2.
Terms not defined in this chapter and the agreement will follow relevant laws and general practices.

Article 3 (Effect and Modification of the Terms)

1.
These terms take effect when the member agrees to the service application.
2.
The company may modify the terms for reasons such as changes in laws or service improvements. Modified terms will take effect after notification and agreement from the members.

Chapter 2 Service Usage

Article 4 (Service Provision)

1.
The company provides the following services:
Company Establishment Support Service
Handling the procedures for establishing a company in Korea (Corporations, Foreign Investment Corporations, etc.)
Matching and consulting with professional accounting/tax firms
Supporting company financial transactions and office space connections
Company Operational Support Service
Human resources management, year-end tax adjustments, tax filing support
Accounting report preparation and legal services
Business Consulting Service
Tailored business strategy development and organizational management
Market research and support for new business development
Korea Travel Service
Premium accommodation/transportation reservations, personalized travel recommendations
Emergency situation response and safety management services
Korea Living Support
Professional visa consulting, financial service advice
Employment consulting and public service support
2.
Members may choose to use only some of these services, and the company may use affiliates for some of the services.

Article 5 (Service Restrictions and Responsibilities)

1.
The company may limit or terminate the service for members who engage in the following actions:
Violations of laws or the terms and conditions
Disruption of the normal operation of the service
Providing false information or using the service in an unlawful manner
Actions that violate public order and morals
2.
The company may claim compensation for damages caused by illegal actions by members.

Article 6 (Service Modifications and Suspension)

1.
The company may modify or suspend all or part of the services for operational or technical reasons.
2.
The company will notify members in advance of any changes or suspension, and will not be liable for damages unless caused by the company’s intentional or gross negligence.

Chapter 3 Member's Duties and Company's Exemption

Article 7 (Member’s Duties)

1.
Members must comply with the following:
Prohibition of providing false information
Compliance with the company’s operating policies and procedures
Prohibition of infringing the rights of others
Prohibition of violating laws or the terms and conditions
2.
Members are not allowed to transfer or commercially use the service to third parties.

Article 8 (Company's Exemption)

1.
The company is not liable for the following:
Damages caused by the member’s intentional or negligent actions
Damages caused by force majeure (e.g., natural disasters)
Disputes between members or between members and third parties

The company is not responsible for issues arising from the incorrect information provided by members.

Article 9 (Inappropriate Conduct and Protective Measures)

1.
The company will take protective actions in the event of inappropriate conduct, such as:
Abusive language, malicious defamation, or use of offensive language toward managers
2.
If such conduct occurs through any communication channels (customer messenger, email, phone, etc.), the company may terminate the service immediately without refund after two warnings.

Chapter 4 Contract and Dispute Resolution

Article 10 (Contract Formation and Termination)

1.
A service contract is established when the member agrees to the terms and conditions and the company accepts the application.
2.
The member must notify the company in writing when terminating the contract, and any unpaid debts must be settled even after the termination.

Article 11 (Dispute Resolution and Jurisdiction)

1.
Disputes will be resolved through mutual consultation.
2.
If a resolution cannot be reached through consultation, the competent court with jurisdiction over the company's main office location will have exclusive jurisdiction.

Supplementary Provisions

These terms and conditions take effect from December 15, 2024.
